IMPORTANT: PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THIS WEBSITE. THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. BY USING THIS SITE, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THIS SITE.
1. AGREEMENT TO TERMS
These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("you," "your," "User," or "Visitor") and Solvia Properties LLC, a limited liability company operating under the trade name Solvia Estates ("Solvia Estates," "the Company," "we," "us," or "our"). These Terms govern your access to and use of the website located at solviaestates.com (the "Site"), including all pages, subdomains, features, content, forms, services, and any related communications.
By accessing, browsing, or using the Site in any manner, submitting a property inquiry, requesting a cash offer, providing your contact information, clicking any "submit," "get offer," or similar button, or otherwise engaging with Solvia Estates through the Site or any related channel, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy (available at solviaestates.com/privacy-policy and incorporated herein by reference), and all applicable laws and regulations.
If you are accessing or using the Site on behalf of a business, entity, or other organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" will refer to both you individually and that organization.
We reserve the right to modify, amend, or update these Terms at any time without prior notice. The most current version will always be posted on this page with the "Last Updated" date. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with any modification, your sole remedy is to stop using the Site.
2. ABOUT SOLVIA ESTATES
2.1 Nature of Business
Solvia Properties LLC (DBA Solvia Estates) is a real estate solutions company and direct property buyer. We purchase residential properties directly from homeowners for cash. We provide homeowners with a fast, convenient alternative to the traditional home sale process by eliminating the need for real estate agents, home repairs, staging, showings, and traditional bank financing contingencies.
2.2 What We Are NOT
Solvia Estates is NOT a licensed real estate brokerage, real estate agency, or real estate listing service. We do not act as real estate agents or brokers and do not list properties on the Multiple Listing Service (MLS) or any other listing platform on your behalf. We are not a licensed appraisal firm. We do not represent buyers or sellers in a licensed agent or fiduciary capacity. We do not provide legal, financial, tax, investment, appraisal, or real estate brokerage advice.
2.3 How We Operate
We may purchase properties using our own funds, through affiliated entities, through assigned purchase contracts, or through our network of vetted real estate investors and funding partners. In some transactions, Solvia Estates may assign its interest in a purchase contract to a third-party buyer or investor prior to closing. All transactions are conducted in compliance with applicable federal, state, and local laws, including but not limited to real estate transfer laws, anti-money laundering regulations, and fair housing laws.
2.4 No Fiduciary Relationship
Your use of this Site and your communications with Solvia Estates do not create a fiduciary, agency, joint venture, partnership, employment, or attorney-client relationship between you and Solvia Estates. We act solely as a principal in any transaction — as a buyer of your property — and our interests may differ from yours. You are strongly encouraged to seek independent legal, financial, and tax counsel before entering into any transaction.
3. ELIGIBILITY AND AGE RESTRICTION
You must be at least eighteen (18) years of age to use this Site, submit a property inquiry, request a cash offer, opt in to communications, or engage with Solvia Estates in any capacity. By using the Site, you represent and warrant that you are at least 18 years old.
You must also: (a) have the legal capacity and authority to enter into a binding contract; (b) have legal authority to sell or authorize the sale of the property in question (e.g., as an owner, authorized agent, personal representative of an estate, trustee, or holder of power of attorney); (c) not be prohibited from using the Site under any applicable law; and (d) provide accurate, truthful, and complete information.
If you do not meet these requirements, you must not access or use the Site. We reserve the right to refuse service, terminate accounts, or cancel transactions at our sole discretion if we reasonably believe you do not meet these requirements.
4. PROPERTY INQUIRIES, CASH OFFERS, AND TRANSACTIONS
4.1 Submitting a Property Inquiry
You may submit information about a property you wish to sell through the forms provided on the Site. By submitting a property inquiry, you represent and warrant that: (a) you are the legal owner of the property or are duly authorized to act on behalf of the legal owner; (b) all information you provide is accurate, complete, and truthful to the best of your knowledge; (c) you are not aware of any undisclosed defects, liens, encumbrances, boundary disputes, easement issues, code violations, environmental hazards, pending litigation, unpaid assessments, or other material facts that would affect the property's value or marketability that you have not disclosed; and (d) you have the legal right to sell the property and convey clear and marketable title.
4.2 Non-Binding Nature of Offers
Any cash offer, estimated range, or indication of value communicated by Solvia Estates — whether through the Site, by phone, by email, by text, or in person — is preliminary, non-binding, and subject to change. No offer is binding on Solvia Estates or on you until a formal written Purchase and Sale Agreement (or equivalent contract) has been fully executed by all parties.
We reserve the right to adjust, modify, rescind, or withdraw any offer at any time before a binding contract is executed, including but not limited to situations where: (a) the property inspection reveals conditions materially different from those represented; (b) title issues, liens, encumbrances, or other title defects are discovered; (c) market conditions change materially; (d) information provided by you is found to be inaccurate or incomplete; or (e) any other material fact is discovered that affects the property's value or our ability to close the transaction.
4.3 No Guarantee of Purchase or Closing
Solvia Estates does not guarantee that it will make an offer on your property, that any offer will be accepted, or that any transaction will close. Closings are subject to satisfactory title review, property inspection, legal review, resolution of liens or encumbrances, compliance with local and state transfer requirements, and other factors. We shall not be liable for any costs, damages, or losses you incur as a result of a transaction not closing for any reason.
4.4 Closing Costs and Fees
In most transactions, Solvia Estates covers standard closing costs, including title insurance, escrow fees, and transfer taxes, unless otherwise agreed in writing. You are responsible for any outstanding mortgage balances, liens, unpaid taxes, HOA assessments, and other encumbrances against the property. The specific allocation of costs will be set forth in the executed Purchase and Sale Agreement.
4.5 As-Is Purchases
Solvia Estates purchases properties in "as-is" condition. You are not required to make any repairs, improvements, or modifications to the property prior to closing. However, this does not relieve you of your obligation to disclose known material defects as required by applicable state and local disclosure laws.
4.6 Assignment of Contracts
Solvia Estates reserves the right to assign its interest in any purchase agreement or contract to a third party, including but not limited to affiliated entities, real estate investors, or funding partners, without your additional consent unless prohibited by applicable law or the terms of the executed contract. Any assignment will not relieve Solvia Estates of its obligations under the original agreement unless the assignee assumes those obligations in writing.
4.7 Misrepresentation
Material misrepresentation of a property's ownership, condition, title status, liens, legal encumbrances, or any other material fact may result in the rescission of any offer or executed contract, termination of the transaction, and/or legal action to recover damages, costs, and attorney's fees incurred by Solvia Estates.
5. NO PROFESSIONAL ADVICE DISCLAIMER
NOTHING ON THIS SITE, IN ANY COMMUNICATION FROM SOLVIA ESTATES, OR PROVIDED BY ANY REPRESENTATIVE OF SOLVIA ESTATES CONSTITUTES OR SHALL BE CONSTRUED AS:
• Legal advice or the practice of law.
• Financial or investment advice.
• Tax advice or tax planning.
• Real estate brokerage or agency representation.
• Appraisal or valuation services.
• Home inspection or engineering advice.
All information provided on the Site and through our communications is for general informational purposes only. You should consult with qualified, licensed professionals — including a real estate attorney, certified public accountant (CPA), licensed appraiser, and/or financial advisor — before making any decisions related to the sale of your property. Reliance on any information provided by Solvia Estates is solely at your own risk.
6. FAIR HOUSING AND NON-DISCRIMINATION
Solvia Estates is committed to full compliance with the Fair Housing Act (42 U.S.C. §§ 3601–3619), the Civil Rights Act of 1866, and all applicable federal, state, and local fair housing and anti-discrimination laws.
We do not discriminate on the basis of race, color, religion, sex (including gender identity and sexual orientation), national origin, disability, familial status, age, marital status, military or veteran status, source of income, ancestry, genetic information, or any other characteristic protected by applicable law in any aspect of our business, including but not limited to:
• The evaluation or purchase of properties.
• The determination of cash offer amounts.
• Communications and marketing practices.
• The terms and conditions of any transaction.
• Access to or use of the Site and our services.
If you believe you have been subjected to discrimination in connection with any aspect of our services, you may file a complaint with the U.S. Department of Housing and Urban Development (HUD) at hud.gov or by calling 1-800-669-9777. You may also contact your applicable state or local fair housing agency.
7. SMS/TEXT MESSAGING TERMS AND CONDITIONS
7.1 Description of SMS Program
Solvia Estates (a DBA of Solvia Properties LLC) offers an SMS/text messaging program to communicate with homeowners who have submitted a property inquiry or opted in to receive messages. The SMS program is used to:
• Respond to your property inquiry and provide information about our cash home buying services.
• Deliver cash offers and discuss potential transactions for your property.
• Send appointment confirmations, reminders, and scheduling updates.
• Follow up on previously submitted property inquiries.
• Send promotional and marketing messages about our real estate services (with your consent).
7.2 Opt-In and Consent
By providing your mobile phone number on this Site and checking the consent box or clicking "Submit," "Get My Offer," or any similar button, you expressly consent to receive recurring automated text messages (SMS and MMS) from Solvia Estates at the mobile number you provided. You understand that:
• Consent is not required as a condition of purchasing any service or entering into any transaction with Solvia Estates.
• You may receive both transactional messages (related to your property inquiry) and marketing/promotional messages.
• Message and data rates may apply. Solvia Estates does not charge for text messages, but your mobile carrier may charge standard messaging and data fees.
• Message frequency varies depending on your level of engagement and the status of your inquiry. You may receive up to 10 messages per month.
7.3 No Sharing of SMS Consent or Phone Numbers
We do not sell, rent, loan, trade, lease, or otherwise share your phone number or SMS opt-in consent with any third party for marketing or promotional purposes. Your SMS consent and phone number are used exclusively by Solvia Estates (Solvia Properties LLC) for the purposes described in this section. Your opt-in consent is provided on a one-to-one basis to Solvia Estates specifically, in compliance with FCC regulations effective January 27, 2025. This consent will not be shared with, sold to, or transferred to any unaffiliated third party for their independent use.
7.4 How to Opt Out of Text Messages
You may opt out of receiving text messages at any time by replying STOP to any text message you receive from Solvia Estates. After you send STOP, you will receive one final confirmation message, and no further text messages will be sent to you unless you re-initiate contact or re-opt-in. Opting out of marketing text messages will not prevent transactional communications necessary to complete an active property transaction you have initiated.

7.6 Supported Carriers
Our SMS program is supported by all major U.S. wireless carriers, including but not limited to AT&T, Verizon, T-Mobile, Sprint, U.S. Cellular, and others. Carriers are not liable for delayed or undelivered messages.
7.7 Carrier Liability Disclaimer
Solvia Estates and mobile carriers (including but not limited to AT&T, Verizon, T-Mobile, Sprint, and U.S. Cellular) are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission from your wireless carrier and is outside the control of Solvia Estates. T-Mobile is not liable for delayed or undelivered messages.
8. TELEPHONE COMMUNICATIONS AND TCPA DISCLOSURE
8.1 Express Written Consent to Call
By submitting your contact information through any form on this Site, you provide your express written consent — as that term is defined under the Telephone Consumer Protection Act (47 U.S.C. § 227) ("TCPA") and the regulations of the Federal Communications Commission ("FCC") — to be contacted by Solvia Properties LLC (DBA Solvia Estates) and its authorized representatives, agents, affiliates, and partners at the telephone number(s) you have provided, including any mobile/cell phone number.
You specifically consent to receive:
• Telephone calls, including calls made using an automatic telephone dialing system (ATDS) or autodialer.
• Pre-recorded or artificial voice messages.
This consent applies to communications for the purpose of: (a) responding to your property inquiry; (b) providing a cash offer or discussing a potential transaction; (c) following up on prior inquiries; (d) delivering marketing or promotional information about our services; and (e) any other purpose related to our services.
8.2 Opting Out of Phone Calls
You may opt out of receiving phone calls by requesting to be placed on our internal Do Not Call list during any call, or by contacting us in writing at [email protected].
8.3 Consent Is Voluntary
Your consent to receive automated calls is not a condition of purchasing any property, receiving a cash offer, or entering into any transaction with Solvia Estates.
9. EMAIL COMMUNICATIONS AND CAN-SPAM COMPLIANCE
All email communications from Solvia Estates comply with the CAN-SPAM Act (15 U.S.C. §§ 7701–7713). All commercial emails will contain: accurate sender and header information, a clear identification as an advertisement (where applicable), our physical mailing address, and a functional opt-out/unsubscribe mechanism.
You may opt out of marketing emails at any time by:
• Clicking the "unsubscribe" link at the bottom of any marketing email.
• Emailing us at [email protected] with "UNSUBSCRIBE" in the subject line.
We honor all opt-out requests within ten (10) business days. Opting out of marketing emails will not prevent transactional emails necessary to complete an active transaction or respond to a specific request you have initiated.

By using the Site, you consent to the practices described in the Privacy Policy. Please review the Privacy Policy carefully before submitting any personal information through the Site.
11. INTELLECTUAL PROPERTY RIGHTS
11.1 Ownership of Site Content
The Site and all content, features, functionality, and materials contained therein — including but not limited to text, graphics, photographs, images, illustrations, logos, icons, audio clips, video clips, data compilations, software, code, page layout, design, and the overall look and feel of the Site — are the exclusive property of Solvia Properties LLC or its content suppliers and are protected by United States and international copyright, trademark, trade dress, patent, trade secret, and other intellectual property and proprietary rights laws.
11.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site solely for your personal, non-commercial use in connection with a potential property transaction. This license does not include the right to: (a) modify, reproduce, distribute, display, perform, publish, license, create derivative works from, or sell any content from the Site; (b) use the Site or its content for any commercial purpose, competitive analysis, or reverse engineering; (c) systematically download, scrape, harvest, or archive any content from the Site; (d) frame or mirror any portion of the Site; or (e) use any meta tags, hidden text, or other metadata utilizing Solvia Estates' trademarks without our express written consent.
11.3 Trademarks
"Solvia Estates," "Solvia Properties LLC," "Solvia Properties," and all associated logos, designs, slogans, and service marks (whether registered or unregistered) are trademarks or service marks of Solvia Properties LLC. You may not use, display, or reference these marks in any manner without our prior written consent. All other trademarks, product names, company names, and logos displayed on the Site are the property of their respective owners.
12. PROHIBITED USES
In addition to any other restrictions set forth in these Terms, you agree that you shall not:
• Use the Site for any unlawful purpose or in violation of any applicable federal, state, local, or international law, regulation, or ordinance.
• Submit false, fraudulent, misleading, or materially inaccurate information about yourself, your identity, or any property.
• Impersonate any person, entity, or organization, or falsely state or misrepresent your affiliation with any person, entity, or organization.
• Use the Site in any manner that could disable, overburden, damage, impair, or interfere with any other party's use of the Site or the servers and networks connected to it.
• Attempt to gain unauthorized access to any portion of the Site, other accounts, computer systems, or networks connected to the Site through hacking, password mining, or any other means.
• Use any robot, spider, scraper, data mining tool, or other automated device to access the Site for any purpose, including monitoring or copying Site content.
• Introduce any virus, Trojan horse, worm, logic bomb, ransomware, malware, or other material that is malicious or technologically harmful.

13. USER SUBMISSIONS AND CONTENT
Any information, data, photographs, documents, communications, or other materials you submit, upload, or transmit through the Site or to Solvia Estates ("User Submissions") are subject to the following terms:
You retain ownership of any User Submissions you provide. However, by submitting them, you grant Solvia Estates a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Submissions solely for the purposes of evaluating your property, preparing an offer, completing a transaction, improving our services, and complying with legal obligations.
You represent and warrant that: (a) you own or have the necessary rights to submit all User Submissions; (b) your User Submissions do not infringe the intellectual property, privacy, publicity, or other rights of any third party; (c) your User Submissions do not contain any defamatory, obscene, or unlawful material; and (d) your User Submissions are not false, fraudulent, or misleading.
14. THIRD-PARTY LINKS, SERVICES, AND CONTENT
The Site may contain links, references, or integrations to third-party websites, resources, products, or services that are not owned, operated, or controlled by Solvia Estates. These may include but are not limited to: title companies, escrow services, mortgage lenders, home inspection companies, real estate attorneys, analytics platforms, advertising networks, and social media platforms.
We provide these links for convenience only and do not endorse, approve, sponsor, or make any representations or warranties regarding the content, accuracy, opinions, products, services, privacy practices, or security of any third-party websites or resources. Your interaction with any third-party website is governed by that third party's own terms and policies. Solvia Estates shall not be liable for any damage or loss arising from or in connection with your use of any third-party website, service, or content.
15. DISCLAIMER OF WARRANTIES
THE SITE, ALL CONTENT, ALL SERVICES, AND ALL INFORMATION PROVIDED THROUGH OR IN CONNECTION WITH THE SITE ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS, WITHOUT ANY WARRANTIES OR REPRESENTATIONS OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOLVIA PROPERTIES LLC (DBA SOLVIA ESTATES) EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
• WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS.
• WARRANTIES THAT THE INFORMATION ON THE SITE IS ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE.
• WARRANTIES THAT ANY DEFECTS OR ERRORS IN THE SITE WILL BE CORRECTED.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
16. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOLVIA PROPERTIES LLC (DBA SOLVIA ESTATES), ITS PARENT COMPANY, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, INVESTORS, PARTNERS, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE "SOLVIA PARTIES") BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:
• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
• LOSS OF PROFITS, REVENUE, INCOME, SAVINGS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.
• COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES.
• PROPERTY DAMAGE OR PERSONAL INJURY.
• ANY DAMAGES ARISING FROM OR RELATED TO: (i) YOUR USE OF OR INABILITY TO USE THE SITE; (ii) ANY PROPERTY TRANSACTION FACILITATED, INITIATED, DISCUSSED, OR DECLINED BY SOLVIA ESTATES; (iii) ANY UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF YOUR PERSONAL INFORMATION; (iv) ANY ERRORS, INACCURACIES, OR OMISSIONS IN SITE CONTENT OR COMMUNICATIONS; (v) ANY INTERRUPTION OR CESSATION OF THE SITE; (vi) ANY VIRUSES OR MALICIOUS CODE TRANSMITTED THROUGH THE SITE; OR (vii) ANY OTHER MATTER RELATED TO THE SITE OR OUR SERVICES.
REGARDLESS OF THE THEORY OF LIABILITY (WHETHER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, OR OTHERWISE), AND EVEN IF THE SOLVIA PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ANY EVENT, THE TOTAL AGGREGATE LIABILITY OF THE SOLVIA PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR YOUR USE THEREOF SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED DOLLARS ($100.00); OR (B) THE AMOUNT YOU PAID TO SOLVIA ESTATES, IF ANY, DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL. IN SUCH JURISDICTIONS, THE LIABILITY OF THE SOLVIA PARTIES SHALL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
17. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless the Solvia Parties from and against any and all claims, actions, suits, demands, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees, expert fees, and costs of litigation) arising out of or relating to:
• Your access to or use of the Site.
• Your violation or breach of any provision of these Terms.
• Any information, content, or materials you submit to or through the Site.
• Any misrepresentation, fraud, or inaccuracy in information you provide regarding a property or yourself.
• Your violation of any applicable law, regulation, or third-party right.
• Any claim by a third party arising from or related to your actions in connection with a property transaction.
• Your negligence or willful misconduct.
Solvia Estates reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You shall not settle any claim without our prior written consent.
18. GOVERNING LAW, DISPUTE RESOLUTION, AND ARBITRATION
18.1 Governing Law
These Terms, your access to and use of the Site, and any dispute arising out of or related to these Terms or the Site shall be governed by, construed, and enforced in accordance with the laws of the United States and the state in which Solvia Properties LLC is principally organized and located, without regard to conflict of law principles that would require application of the laws of any other jurisdiction.
18.2 Mandatory Informal Dispute Resolution
Before initiating any formal legal proceeding (including arbitration), you agree to first contact Solvia Estates at [email protected] and provide a written description of the dispute, including the relevant facts, your contact information, and the specific relief sought. Both parties agree to use good-faith efforts to resolve the dispute informally for at least thirty (30) calendar days after receiving the written notice. If the dispute cannot be resolved informally within this period, either party may proceed to binding arbitration.
18.3 Binding Arbitration Agreement
IF INFORMAL RESOLUTION FAILS, YOU AND SOLVIA PROPERTIES LLC (DBA SOLVIA ESTATES) AGREE THAT ANY AND ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS, THE SITE, OR ANY TRANSACTION OR RELATIONSHIP BETWEEN US (WHETHER BASED IN CONTRACT, TORT, STATUTE, FRAUD, MISREPRESENTATION, OR ANY OTHER LEGAL THEORY) SHALL BE RESOLVED BY FINAL AND BINDING INDIVIDUAL ARBITRATION BEFORE A SINGLE NEUTRAL ARBITRATOR, ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS CONSUMER ARBITRATION RULES, OR IF THE AAA IS UNAVAILABLE, UNDER JAMS COMPREHENSIVE ARBITRATION RULES.
The arbitration shall be conducted in the county where Solvia Properties LLC is principally located, or via videoconference or telephone if mutually agreed. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The Federal Arbitration Act (9 U.S.C. §§ 1–16) governs the interpretation and enforcement of this arbitration provision.
18.4 Class Action and Jury Trial Waiver
YOU AND SOLVIA PROPERTIES LLC (DBA SOLVIA ESTATES) AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, MULTI-PLAINTIFF, OR REPRESENTATIVE ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND SOLVIA PROPERTIES LLC (DBA SOLVIA ESTATES) EACH WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY LAWSUIT, ACTION, OR PROCEEDING ARISING OUT OF OR RELATED TO THESE TERMS OR THE SITE.
18.5 Exceptions to Arbitration
Notwithstanding the foregoing, either party may: (a) bring an individual action in small claims court for disputes within the court's jurisdictional limits; (b) seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration; or (c) pursue claims that applicable law expressly exempts from arbitration. Nothing in this section limits Solvia Estates' right to seek injunctive or other equitable relief to protect its intellectual property rights.
18.6 Statute of Limitations
You agree that any cause of action or claim arising out of or related to these Terms or the Site must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action or claim is permanently barred.

20. ANTI-MONEY LAUNDERING AND REGULATORY COMPLIANCE
Solvia Properties LLC complies with all applicable anti-money laundering ("AML") laws and regulations, including the Bank Secrecy Act ("BSA"), the USA PATRIOT Act, and regulations issued by the Financial Crimes Enforcement Network ("FinCEN"). As a cash buyer of residential real estate, we may be subject to federal reporting requirements for certain non-financed transactions, including the FinCEN Residential Real Estate Rule (to the extent it is in effect and enforceable).
You acknowledge and agree that Solvia Estates may: (a) verify your identity and the identity of any beneficial owner of an entity or trust involved in a transaction; (b) collect documentation required for AML compliance, including but not limited to government-issued identification, taxpayer identification numbers, and proof of ownership; (c) report certain transactions or suspicious activities to FinCEN or other regulatory authorities as required by law; and (d) decline or terminate any transaction if we are unable to verify your identity, the source of funds, or if we suspect that the transaction involves illegal activity.
21. FORCE MAJEURE
Solvia Estates shall not be liable or responsible for any failure or delay in performance of any obligation under these Terms, or any inability to close a transaction, caused by or resulting from any event or circumstance beyond our reasonable control, including but not limited to: acts of God, natural disasters, fire, flood, earthquake, hurricane, tornado, pandemic, epidemic, public health emergency, war, terrorism, civil unrest, government actions, sanctions, embargoes, court orders, changes in law or regulation, labor strikes, power outages, internet disruptions, telecommunications failures, supply chain disruptions, or any other cause beyond our reasonable control.
22. TERMINATION AND SUSPENSION
We reserve the right, in our sole discretion, to terminate, suspend, or restrict your access to the Site at any time, with or without cause, with or without notice, and without liability to you. Grounds for termination include, without limitation, violation of these Terms, submission of fraudulent information, abusive or threatening behavior toward our staff, or any activity that we reasonably believe to be harmful to Solvia Estates or other users.
Upon termination: (a) your license to use the Site immediately ceases; (b) all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 5, 7, 8, 11, 13, 15, 16, 17, 18, and 24; and (c) we may retain your information as permitted by our Privacy Policy and applicable law.
23. GENERAL PROVISIONS
23.1 Entire Agreement
These Terms, together with our Privacy Policy (available at solviaestates.com/privacy-policy), any executed Purchase and Sale Agreement, and any other written agreements between you and Solvia Properties LLC in connection with a property transaction, constitute the entire agreement between you and Solvia Estates regarding your use of the Site and supersede all prior and contemporaneous agreements, representations, warranties, negotiations, and understandings, whether oral or written.
23.2 Severability
If any provision of these Terms is held by a court of competent jurisdiction or arbitrator to be invalid, illegal, void, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent, or if modification is not possible, it shall be severed from these Terms.
23.3 Waiver
No failure or delay by Solvia Estates in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof. No single or partial exercise of any right shall preclude any other or further exercise of that or any other right. A waiver of any provision of these Terms must be in writing and signed by an authorized representative of Solvia Estates to be effective.
23.4 Assignment
You may not assign, transfer, or delegate these Terms or any of your rights or obligations hereunder without the prior written consent of Solvia Estates. Solvia Estates may freely assign, transfer, or delegate these Terms and any of its rights and obligations hereunder without restriction or notice.
23.5 Headings
The headings used in these Terms are for convenience of reference only and shall not affect the interpretation or construction of any provision.
23.6 No Third-Party Beneficiaries
These Terms do not confer any rights, remedies, or benefits upon any third party except as expressly stated herein.
23.7 Relationship of the Parties
Nothing in these Terms shall be construed to create any partnership, joint venture, agency, employment, or franchise relationship between you and Solvia Estates. Neither party has the authority to bind or obligate the other.
23.8 Notices
All notices required or permitted under these Terms shall be in writing and shall be deemed given when: (a) sent by email (with confirmation of delivery) to [email protected] (for notices to Solvia Estates); or (b) sent to the email address or mailing address you have provided to us (for notices to you). You are responsible for keeping your contact information current.
23.9 Electronic Records and Signatures
You consent to the use of electronic records and electronic signatures in connection with these Terms and any transaction with Solvia Estates, in accordance with the Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. §§ 7001–7006) and applicable state laws, including the Uniform Electronic Transactions Act (UETA).
